Terms of Service

Plain-language summary

You own your data. We host it securely and don't sell it. Pay only for what you use. ScrumTeam is a software tool — its outputs can contain errors, so verify before you rely on them, and you're responsible for how you use it. You are responsible for your own content and conduct; we are not liable for what other users do. The Service is provided "as is", our liability is capped, and you agree to indemnify us for misuse. Indian law governs. Email us with any questions.

1. Acceptance of Terms

By creating an account or accessing ScrumTeam (the "Service"), operated by Verdeshell Technologies Pvt. Ltd. ("Verdeshell", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms").

If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation and that your acceptance constitutes the organisation's acceptance of these Terms. In these Terms, "you" refers both to you individually and to that organisation.

If you do not agree to these Terms, do not access or use the Service.

2. Eligibility & Accounts

You must be at least 18 years old and capable of forming a binding contract under the Indian Contract Act, 1872 to use the Service. The Service is intended for business and professional use, not for personal or consumer use.

You must provide accurate and complete information when creating an account, and you are responsible for maintaining the confidentiality and security of your account credentials. You are responsible for all activity that occurs under your account, whether or not authorised by you.

You must promptly notify us of any unauthorised access to or use of your account at connect@verdeshell.com. We are not liable for any loss or damage arising from your failure to safeguard your credentials.

One person or legal entity may not create more than one free account. Multiple accounts created to circumvent plan limits may be suspended or terminated.

3. Nature of the Service — We Are a Software Provider

ScrumTeam is a "software-as-a-service" (SaaS) project-management and collaboration tool. We provide a neutral, automated platform that hosts, organises, and displays information that you and other users create, upload, or input. We are a technology provider — not a consultant, advisor, employer, agent, or party to your business decisions.

You are solely responsible for how you use the Service and for any decisions, actions, or outcomes based on your use of it. The Service is a tool to assist you; it does not replace your own professional judgement. Outputs of the Service — including dashboards, reports, metrics, charts, forecasts, automated suggestions, and any AI-assisted or machine-generated content — are provided for convenience only, may contain errors or inaccuracies, and must not be relied upon as the sole basis for any business, financial, legal, employment, or other material decision. You are responsible for independently verifying any information before relying on it.

The Service does not provide legal, financial, tax, accounting, medical, or other professional advice. Nothing produced by or within the Service constitutes such advice.

We may, but are not obligated to, act as an "intermediary" within the meaning of the Information Technology Act, 2000. To the extent we host or transmit content provided by users, we do so as a passive conduit and claim the protections available to intermediaries under applicable law.

4. Acceptable Use

You agree not to use the Service to: (a) upload or transmit malware, viruses, or malicious code; (b) harass, abuse, defame, threaten, or harm others; (c) infringe any intellectual property, privacy, publicity, or other rights; (d) violate any applicable law, regulation, or third-party right; (e) attempt to gain unauthorised access to the Service, its infrastructure, or other users' data; (f) reverse-engineer, decompile, or attempt to derive the source code of the Service except to the extent permitted by law; (g) resell, sublicense, or provide the Service to third parties except as expressly permitted; or (h) engage in any activity that disrupts, overloads, or impairs the Service or circumvents its usage limits or security controls.

You may not use the Service to store, process, or transmit sensitive personal data or information (including SPDI as defined under the IT Act 2000 and rules thereunder, and special-category data under the DPDP Act 2023 or GDPR) without first executing a separate Data Processing Agreement with us. You must not upload data you are not legally permitted to share.

Automated access (bots, scrapers, crawlers) is permitted only via our published API using valid authentication tokens and within documented rate limits.

We may, at our sole discretion and without liability, investigate suspected violations, remove or disable access to content, and suspend or terminate accounts that we reasonably believe violate this section or applicable law.

5. Your Content

You retain ownership of all content you upload, create, or input within the Service ("Your Content"). As between you and Verdeshell, Your Content is yours.

By submitting Your Content, you grant Verdeshell a limited, worldwide, non-exclusive, royalty-free licence to host, store, copy, transmit, process, and display Your Content solely to the extent necessary to operate and provide the Service to you and your organisation, and to comply with law.

You represent and warrant that you own or have all necessary rights, licences, and consents to Your Content, and that Your Content and your use of it do not violate any law or infringe any third-party right.

You are solely responsible for Your Content — including its accuracy, legality, reliability, quality, and appropriateness. We do not pre-screen, monitor, verify, or endorse Your Content, and we are not responsible for it. We reserve the right (but assume no obligation) to remove or disable access to any content that we determine, in our sole discretion, violates these Terms, is unlawful, or may expose us or others to liability.

6. Responsibility for User Conduct & Third-Party Content

The Service may be used by many independent organisations and users. Each user is solely responsible for their own conduct and for the content they create or share. We do not control and are not responsible for the actions, omissions, content, or data of any user.

WE ARE NOT RESPONSIBLE OR LIABLE FOR ANY UNLAWFUL, INFRINGING, FRAUDULENT, HARMFUL, OR OTHERWISE WRONGFUL ACT, OMISSION, OR CONTENT OF ANY USER OF THE SERVICE. Responsibility and liability for such activity rests solely with the user who engaged in it. If you become aware of any misuse of the Service, please report it to connect@verdeshell.com.

Where required by law, we will act on valid notices and orders — including a court or government order under Section 79 of the Information Technology Act, 2000 and the rules thereunder — to remove or disable access to unlawful content. Our removal of content, or failure to remove content absent such a valid order, does not make us a party to, or liable for, the underlying activity.

You acknowledge that we have no obligation to monitor user activity or content, but we may do so to operate, protect, and improve the Service and to comply with law.

7. Plans & Payment

Paid plans are billed in advance on a monthly or annual basis. All prices are in INR (Indian Rupees) and are inclusive of applicable taxes unless stated otherwise.

Payments are processed by our third-party payment provider (Razorpay). By providing payment information you authorise the provider to charge your payment method per your selected plan. We do not store your full card details.

Upgrades take effect immediately and are billed pro-rata. Downgrades take effect at the end of your current billing period.

Paid plans include a 14-day free trial from the date of plan activation. We will not charge you during the trial period.

We reserve the right to change pricing with 30 days' notice. Price changes will not affect your current billing period.

You are responsible for all fees and applicable taxes. We may suspend or downgrade your access if payment is overdue. Except as expressly stated, fees are non-refundable. As a goodwill matter, if you are not satisfied within your first 30 days of a first-time paid plan, contact us and we may, at our discretion, issue a refund.

8. Third-Party Services

The Service integrates with or relies on third-party services and providers (for example, cloud hosting, payment processing, email delivery, error monitoring, and any integrations you enable such as Slack or single sign-on providers). Your use of those services is governed by their own terms and privacy policies.

We do not control and are not responsible or liable for the availability, accuracy, security, or performance of any third-party service, or for any loss arising from their acts, omissions, outages, or changes. Any integration you enable is at your own risk.

9. Intellectual Property

The Service and all associated technology, software, design, text, graphics, and content (excluding Your Content) are the property of Verdeshell or its licensors and are protected by applicable intellectual property laws.

These Terms do not grant you any right, title, or interest in the Service beyond the limited, revocable, non-transferable licence to use the Service as described herein.

The "ScrumTeam" and "Verdeshell" names and logos are trademarks of Verdeshell. You may not use our trademarks without prior written consent.

10. Feedback

If you provide suggestions, ideas, or feedback about the Service, you grant Verdeshell a perpetual, irrevocable, worldwide, royalty-free licence to use and incorporate that feedback into the Service without any obligation or compensation to you. You are not required to provide feedback.

11. Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other party that is designated as confidential or that should reasonably be understood to be confidential ("Confidential Information").

Verdeshell's Confidential Information includes product roadmaps, non-public pricing, and technical architecture details. Your Confidential Information includes Your Content and business information shared with us during onboarding or support.

Neither party will disclose the other's Confidential Information except to personnel and contractors who need it and are bound by confidentiality obligations, or as required by law.

12. Availability, Modifications & Beta Features

We strive to keep the Service available but do not guarantee uninterrupted or error-free operation. The Service may be unavailable due to maintenance, updates, or factors beyond our control. Unless a separate written service-level agreement applies to your plan, the Service is provided without any uptime commitment.

We may modify, add, suspend, or discontinue any feature or part of the Service at any time. We will give reasonable notice of material adverse changes where practicable.

Features identified as "beta", "preview", "trial", or "experimental" are provided "as is" for evaluation, may be changed or withdrawn at any time, and are excluded from any warranty or service commitment.

You are responsible for maintaining your own backups of important data. While we maintain reasonable backup practices, we do not warrant against data loss and recommend you export critical data regularly.

13. Disclaimers & No Reliance

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT.

VERDESHELL DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY DATA, OUTPUT, REPORT, METRIC, OR AUTOMATED OR AI-ASSISTED SUGGESTION GENERATED BY THE SERVICE WILL BE ACCURATE, COMPLETE, OR RELIABLE.

SOFTWARE IS INHERENTLY SUSCEPTIBLE TO ERRORS, DEFECTS, AND INTERRUPTIONS. ANY RELIANCE YOU PLACE ON THE SERVICE OR ITS OUTPUTS IS AT YOUR OWN RISK. YOU ARE RESPONSIBLE FOR VERIFYING RESULTS AND FOR ALL DECISIONS AND ACTIONS YOU TAKE BASED ON THE SERVICE.

Some jurisdictions do not allow the exclusion of certain warranties; in such cases the above exclusions apply to the maximum extent permitted by law.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VERDESHELL AND ITS DIRECTORS, EMPLOYEES, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

WE ARE NOT LIABLE FOR ANY LOSS OR DAMAGE ARISING FROM: (A) YOUR USE OF OR INABILITY TO USE THE SERVICE; (B) ANY CONTENT, CONDUCT, OR DATA OF ANY USER OR THIRD PARTY; (C) UNAUTHORISED ACCESS TO OR ALTERATION OF YOUR DATA NOT CAUSED BY OUR GROSS NEGLIGENCE; OR (D) ANY THIRD-PARTY SERVICE.

VERDESHELL'S TOTAL AGGREGATE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID VERDESHELL IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ₹5,000.

These limitations form an essential basis of the bargain and apply even if a limited remedy fails of its essential purpose. Nothing in these Terms excludes liability that cannot be excluded under applicable law.

15. Indemnification

You agree to defend, indemnify, and hold harmless Verdeshell and its directors, officers, employees, contractors, and agents from and against any and all claims, demands, suits, proceedings, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) Your Content; (b) your use or misuse of the Service; (c) your violation of these Terms or any applicable law; (d) your violation of any third-party right, including intellectual property or privacy rights; or (e) any illegal, fraudulent, or wrongful act or omission by you or anyone using your account.

We will promptly notify you of any such claim, and you will cooperate in the defence. We reserve the right, at our own expense, to assume the exclusive defence and control of any matter subject to indemnification by you, in which case you agree to cooperate.

16. Force Majeure

We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including acts of God, natural disasters, epidemics or pandemics, war, terrorism, civil unrest, government action, labour disputes, internet or telecommunications failures, power outages, or failures of third-party hosting, infrastructure, or service providers.

17. Termination

You may terminate your account at any time from your account settings.

We may suspend or terminate your access to the Service at any time — immediately and without notice for a material breach of these Terms or suspected unlawful use, or otherwise with reasonable notice where practicable.

On termination, your right to use the Service ceases. Your Content will be deleted in accordance with our data retention policy (section 5 of the Privacy Policy). Outstanding fees remain due. Sections that by their nature should survive termination — including Content licences granted to us, Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, Confidentiality, and Governing Law — survive termination.

18. Governing Law & Disputes

These Terms are governed by the laws of India, without regard to conflict-of-laws principles. Subject to the informal-resolution step below, any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of Gurgaon, Haryana, India.

Before initiating legal proceedings, you agree to notify us at connect@verdeshell.com and give us 30 days to resolve the dispute informally and in good faith.

19. General

Entire agreement: these Terms, together with the Privacy Policy and any order or plan you select, constitute the entire agreement between you and Verdeshell regarding the Service and supersede any prior agreements.

Assignment: you may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms, including in connection with a merger, acquisition, reorganisation, or sale of assets.

Severability & waiver: if any provision is found unenforceable, the remaining provisions remain in full force, and the unenforceable provision will be limited to the minimum extent necessary. Our failure to enforce any right or provision is not a waiver of that right.

No agency: nothing in these Terms creates any partnership, joint venture, agency, or employment relationship between you and Verdeshell.

Changes: we may update these Terms from time to time. We will notify you of material changes at least 14 days in advance via email or in-app notice. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
